This End User License Agreement (“EULA”) governs your use of the Omni software, including web, mobile, and desktop applications (the “Software”), provided by Omni, a d/b/a of OTFS Inc, a Commodity Trading Advisor registered with the National Futures Association (NFA ID 

0566836) (“Omni,” “we,” “us,” or “our”).

By installing, accessing, or using the Software, you agree to this EULA, our Terms of Service, and our Risk Disclosure. If you do not agree, do not use the Software.

1. Scope of License

Subject to your compliance with this EULA and applicable Terms of Service:

• Omni grants you a limited, non-exclusive, revocable, non-transferable license to install and use the Software solely for the purpose of receiving and transmitting trading signals from approved providers to your account with a participating U.S. Retail Foreign Exchange Dealer (“RFED”).
  
  

• This license is granted for your personal use (if an individual) or internal business use (if an entity).
  
  

• You may not sublicense, transfer, or resell the Software or any content accessed through it.
  
  
  

2. Prohibited Uses

You agree not to:

1. Copy, modify, distribute, or create derivative works of the Software.
   
   

2. Reverse engineer, decompile, or disassemble any part of the Software.
   
   

3. Use the Software to scrape, mine, or extract signals or data for unauthorized purposes.
   
   

4. Interfere with or attempt to bypass security, licensing, or usage controls.
   
   

5. Share, resell, or redistribute access to signals or providers accessed through Omni.
   
   

6. Use the Software in violation of applicable laws, regulations, or sanctions programs (including OFAC and CFTC/NFA rules).
   
   

3. Intellectual Property

The Software, including its code, design, algorithms, and branding, is owned by Omni and protected by intellectual property laws. This EULA does not transfer ownership; it grants only a license. All rights not expressly granted are reserved.

4. Integration with Terms of Service and Risk Disclosure

• This EULA is incorporated into Omni’s Terms of Service.
  
  

• In the event of conflict, the Terms of Service prevail.
  
  

• You acknowledge that use of the Software involves substantial risk of loss and is subject to Omni’s Risk Disclosure.
  
  

5. Updates and Maintenance

Omni may provide updates, bug fixes, or enhancements at its discretion. Updates may require you to accept revised versions of this EULA. Omni is not obligated to provide any particular feature or functionality.

6. Fees and Trials

• If you access the Software through a paid subscription, fees are governed by the Terms of Service.
  
  

• Free trial offers, if any, are time-limited and may be withdrawn or modified at Omni’s discretion.
  
  

• At the end of a free trial, continued use may automatically convert into a paid subscription unless canceled.
  
  

7. Termination

• This EULA terminates automatically if your Omni account is closed, your RFED account is terminated, or you breach this EULA or the Terms of Service.
  
  

• Upon termination, you must cease all use of the Software and uninstall it from your devices.
  
  

• Omni may disable the Software remotely to enforce termination.
  
  

8. Disclaimer of Warranties

The Software is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

• Omni does not guarantee uninterrupted or error-free operation.
  
  

• Omni does not guarantee that signals or execution routed through the Software will result in profitable trades.
  
  

9. Limitation of Liability

To the maximum extent permitted by law:

• Omni and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages (including trading losses, lost profits, or lost data).
  
  

• Omni’s total liability arising out of or related to this EULA or the Software shall not exceed the total subscription fee(s) paid by you in the past thirty (30) days preceding the claim.
  
  

10. Indemnification

You agree to indemnify and hold harmless Omni, its affiliates, officers, and employees from any claims, damages, liabilities, or expenses arising out of:

• Your use of the Software,
  
  

• Your reliance on signals, or
  
  

• Your violation of this EULA, Terms of Service, or applicable law.
  
  

11. Compliance and Export

You represent and warrant that you:

• Are not subject to sanctions, and are not located in a restricted jurisdiction.
  
  

• Will comply with all U.S. export controls and applicable financial regulations.
  
  

• Will only use the Software with RFED accounts legally permitted to operate in your jurisdiction.
  
  

12. Governing Law and Dispute Resolution

• Governing law: State of Nevada
  
  

• Disputes arising under this EULA are subject to the dispute resolution provisions of the Terms of Service.
  
  

13. Changes to this EULA

Omni may update this EULA by posting a new version. Continued use of the Software after changes take effect constitutes acceptance.
